Authorized signer as named in Section 18

This Agreement is entered into as of the Effective Date above between HikedMedia ("HikedMedia", "we", "us") and Bounce House Palm Beach ("Client", "you"). Together we are the "Parties". By signing below, both Parties agree to the terms that follow.

1. Purpose of This Agreement

HikedMedia will design and build a complete rental website system for Bounce House Palm Beach. The system includes a full website redesign, a customer facing online booking and payment funnel, an admin panel to run the business day to day, and a three month search engine optimization program. This Agreement sets out exactly what is delivered, what it costs, how long it takes, and what each Party is responsible for.

Plain summary. We build the site, the booking system and the admin panel in 3 to 4 weeks. You review it on a private preview link and we refine it until you are satisfied with the agreed scope. You pay 50% to start and the remaining 50% once the site is finalized and approved, before it goes live on your domain. SEO work runs for three months from the day the project starts.

2. Scope of Services

2.1 Website Redesign and Build

A custom designed, mobile responsive website built for Bounce House Palm Beach. This includes the page structure and layout, home page, inventory and category pages, individual product pages, service area pages, about, contact, FAQ, and the legal pages required for online payments. All copy is written or edited by HikedMedia unless the Client supplies its own.

2.2 Online Booking and Payment System

A complete booking funnel built into the site, including:

  • Real time availability with double booking prevention across the full inventory
  • Date and time selection, multi item carts, and add on products
  • Delivery address capture with distance based delivery pricing rules agreed with the Client
  • Automatic tax, deposit and balance calculation according to the Client's stated business rules
  • Secure online payment through the Client's own payment processor account
  • Digital rental agreement and signature capture at checkout
  • Automated confirmation, reminder and follow up email notifications

2.3 Admin Panel

A private, password protected dashboard that allows the Client to operate the business without developer involvement, including:

  • Add, edit, price, reorder and archive inventory items and categories
  • View, edit, reschedule, cancel and refund bookings
  • Calendar view of all upcoming deliveries and pickups
  • Customer records, order history and signed agreements
  • Manual and custom orders, discount codes and payment links
  • Revenue and booking reporting
  • Business settings such as tax rate, deposit rules, delivery zones and blackout dates

2.4 Search Engine Optimization, Three Months

SEO work runs for three consecutive months beginning on the Start Date defined in Section 3, and runs in parallel with the build. It includes on page optimization of all pages, keyword research and mapping for the Client's service area, technical SEO such as site speed, indexing, sitemaps and structured data, local SEO including Google Business Profile optimization, location landing pages for the Client's service cities, and monthly reporting on rankings and traffic.

2.5 Launch and Handover

Domain connection, analytics and conversion tracking setup, transfer of full ownership and admin access to the Client, and a recorded walkthrough of the admin panel.

3. Timeline and Refinements

3.1 Start Date. The project Start Date is the later of (a) receipt of the initial 50% deposit, and (b) receipt of the Client materials listed in Section 4.

3.2 Build Window. HikedMedia will deliver a complete, reviewable version of the website, booking system and admin panel within three (3) to four (4) weeks of the Start Date, presented on a private preview link.

3.3 Refinement Period. Following delivery of the preview, the Client may request refinements to the delivered work. Refinements within the scope described in Section 2 are unlimited and included at no extra cost. HikedMedia will continue refining until the Client is satisfied. Requests that add new functionality, new page types or new systems not described in Section 2 are handled under Section 7.

3.4 Client Response Times. The Client agrees to provide feedback, approvals and requested materials within five (5) business days of each request. Any delay beyond that extends all dates in this Agreement day for day and is not a breach by HikedMedia.

3.5 Inactivity. If the Client does not respond for thirty (30) consecutive calendar days after a preview or refinement round is delivered, the project is deemed complete and approved, the remaining balance becomes due, and any work resumed afterwards may be quoted separately.

4. Client Responsibilities

To keep the timeline on track, the Client agrees to provide, at or before the Start Date:

  • Logo files, brand colors and any photography or video the Client wants used
  • Complete inventory list with names, descriptions, dimensions, quantities and pricing
  • Business rules including tax rate, deposit policy, delivery zones and fees, minimum notice, and cancellation policy
  • Access to the domain registrar, hosting platform, payment processor, Google Business Profile and any analytics accounts
  • A single named point of contact authorized to give approvals

The Client confirms it owns or is licensed to use all materials it supplies, and that all business information it provides, including pricing, availability and policies, is accurate.

5. Fees and Payment Schedule

StageTriggerAmount
Deposit
50%
Due on signing this Agreement. Work begins once received. USD 1,000.00
Balance
50%
Due on written notice that the website is finalized and approved, and before the site is published to the Client's live domain and ownership is transferred. USD 970.00
Total Project Fee USD 1,970.00

Why the split works for both sides. The deposit commits the schedule and covers the build. The balance is not due until the Client has seen the finished website, booking system and admin panel working on a private preview link and has approved it. The Client never pays the second half for something it has not reviewed, and HikedMedia does not release the live site or transfer ownership before being paid in full.

5.1 Deposit is non refundable. The deposit reserves the Client's build slot and covers work performed from the Start Date. It is non refundable once work has begun.

5.2 Payment method. Payments are made by the method invoiced by HikedMedia. Any transaction, transfer or processing fees charged by the payment method are the responsibility of the paying Party.

5.3 Late payment. Amounts unpaid ten (10) days after the invoice date accrue interest at 1.5% per month, or the maximum rate permitted by law if lower. HikedMedia may pause all work, including SEO, until the account is current.

5.4 No hidden or recurring fees. The Total Project Fee is a one time fee for the work described in Section 2. HikedMedia charges no subscription, license or platform fee for the delivered system.

6. Third Party Costs

The Total Project Fee does not include costs charged by third parties. These are paid directly by the Client and remain in the Client's name and control. They typically include the website platform subscription, domain registration, payment processor fees, mapping and address lookup APIs, email or SMS sending services, and any paid stock imagery or premium fonts the Client requests. HikedMedia will advise on the most cost effective options and will not commit the Client to any third party cost without prior approval.

7. Changes to Scope

Requests that fall outside Section 2, including additional websites, new booking modules, integrations with third party software, mobile applications, paid advertising management, or a redesign after final approval, are treated as a change order. HikedMedia will confirm the additional cost and timeline impact in writing, and work on the change begins only after the Client approves it in writing. Written approval by email is sufficient.

8. SEO Performance

HikedMedia will perform the SEO work described in Section 2.4 to a professional standard and in line with search engine guidelines. Search rankings are controlled by third party search engines and are affected by competition, algorithm changes, the Client's market and factors outside the control of either Party. HikedMedia therefore does not guarantee any specific ranking position, traffic volume, lead volume or revenue outcome, and no such guarantee has been made verbally or in writing. HikedMedia will never use practices that place the Client's site at risk of a search engine penalty.

9. Ownership and Intellectual Property

9.1 Transfer on full payment. Upon receipt of the Total Project Fee in full, the Client owns the website design, page content, images and text created for the Client, and receives a perpetual, worldwide, non exclusive, transferable license to use, modify and host the custom code that powers the booking system and admin panel, for the Client's own business.

9.2 Before full payment. Until the Total Project Fee is paid in full, all deliverables remain the property of HikedMedia and are provided to the Client for review purposes only. The Client may not publish, copy or commercially use the deliverables before final payment.

9.3 Pre existing materials. HikedMedia retains ownership of its pre existing frameworks, code libraries, internal tooling and methods used to build the system. Nothing in this Agreement prevents HikedMedia from reusing that underlying know how for other clients. The Client's business data, branding, content and customer records are and remain the Client's property at all times.

9.4 Client materials. The Client retains ownership of everything it supplies and grants HikedMedia a license to use those materials for the purpose of performing this Agreement.

9.5 Portfolio rights. HikedMedia may display the completed website, screenshots and non confidential results in its portfolio, case studies and marketing materials. The Client may withdraw this permission in writing at any time.

10. Confidentiality

Each Party may receive non public information from the other, including pricing, customer data, account credentials, business processes and financial information. Each Party agrees to keep that information confidential, to use it only for the purposes of this Agreement, and to protect it with at least reasonable care. This obligation continues for two (2) years after this Agreement ends and does not apply to information that is public through no fault of the receiving Party or that must be disclosed by law.

11. Support After Launch

11.1 Continued support. Following launch, HikedMedia will continue to support the delivered system for a period of twelve (12) months, extendable at HikedMedia's discretion. During this period HikedMedia will correct defects and make the corrections and adjustments needed to keep the delivered system working, at no additional charge.

11.2 Exclusions. This support does not cover issues caused by changes made by the Client or a third party to the code, template or settings, by the Client's own account or billing lapses with third party providers, by changes to third party platforms or APIs, or by incorrect business information supplied by the Client.

11.3 After the support period. HikedMedia will confirm in writing when the support period has ended. Support, feature additions, new functionality and platform changes requested after that point are available and quoted separately, and HikedMedia is under no obligation to provide free work once the support period has ended.

12. Third Party Platforms

The system is built on and connects to third party platforms and services which are not owned or controlled by HikedMedia. HikedMedia is not responsible for the availability, pricing changes, feature removal, outages, policy changes or data handling of those third parties. If a third party materially changes or discontinues a service in a way that affects the system, HikedMedia will advise the Client on the best available alternative, and any resulting rebuild work is treated as a change order under Section 7.

13. Limitation of Liability

To the maximum extent permitted by law, neither Party is liable to the other for indirect, incidental, special, punitive or consequential damages, or for lost profits, lost bookings, lost revenue, lost data or business interruption, even if advised of the possibility. The total aggregate liability of HikedMedia arising out of or relating to this Agreement will not exceed the total amount actually paid by the Client to HikedMedia under this Agreement. The Client is responsible for maintaining its own backups of its business and customer data.

14. Indemnification

The Client will defend, indemnify and hold harmless HikedMedia and its personnel from any claim, demand, loss or expense, including reasonable legal fees, arising from (a) content, images, trademarks, pricing or business information supplied by the Client, (b) the Client's operation of its rental business, including the safety, condition, delivery and setup of its equipment, (c) the Client's breach of this Agreement, and (d) the Client's failure to comply with laws applicable to its business. HikedMedia will defend and indemnify the Client against any claim that the original code or design created by HikedMedia infringes a third party intellectual property right.

15. Data, Privacy and Compliance

The Client is the owner and controller of all customer data collected through the website and booking system. HikedMedia processes that data only as needed to build, test and support the system. The Client is responsible for publishing its own privacy policy, terms of service, rental agreement and refund policy, and for compliance with the laws that apply to its business, including consumer protection, sales tax and payment card rules. Card payments are handled by the Client's payment processor. HikedMedia does not store cardholder data.

16. Term and Termination

16.1 Term. This Agreement begins on the Effective Date and continues until the deliverables in Section 2 are completed and the three month SEO program has ended, unless terminated earlier as set out below.

16.2 Termination for convenience. Either Party may terminate on ten (10) days written notice. If the Client terminates, the deposit is non refundable and the Client pays for all work performed up to the termination date. If HikedMedia terminates without cause before delivering the preview, HikedMedia will refund the portion of the deposit that exceeds the value of work already performed.

16.3 Termination for cause. Either Party may terminate immediately if the other materially breaches this Agreement and fails to cure the breach within ten (10) days of written notice.

16.4 Effect of termination. All amounts due for work performed become immediately payable. If the Client terminates after final approval but before paying the balance, HikedMedia retains full ownership of the deliverables and is under no obligation to publish or transfer them.

17. General Provisions

17.1 Independent contractor. HikedMedia performs this work as an independent contractor. Nothing here creates an employment, partnership, joint venture or agency relationship.

17.2 Non solicitation of personnel. During this Agreement and for twelve (12) months afterwards, neither Party will directly solicit the other Party's employees or contractors for employment without written consent.

17.3 Force majeure. Neither Party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, internet or platform outages, and serious illness. Deadlines are extended by the length of the event.

17.4 Notices. Notices under this Agreement are valid when sent by email to the addresses on the first page, or to any address a Party later provides in writing, and are deemed received on the next business day.

17.5 Assignment. Neither Party may assign this Agreement without the other's written consent, except that either Party may assign it in connection with a sale or transfer of substantially all of its business.

17.6 Governing law and disputes. This Agreement is governed by the laws of the State of Florida, without regard to its conflict of laws rules. If a dispute arises, the Parties will first attempt in good faith to resolve it through direct discussion, and then through mediation, before starting any legal proceeding. Any proceeding will be brought in the state or federal courts located in Palm Beach County, Florida, and both Parties consent to that jurisdiction. The prevailing Party is entitled to recover reasonable legal fees and costs.

17.7 Severability. If any provision is found unenforceable, the rest of the Agreement remains in full force and the unenforceable provision is modified to the minimum extent needed to make it enforceable.

17.8 Entire agreement and amendments. This Agreement is the entire agreement between the Parties and replaces all prior discussions, proposals and quotes. It may be amended only in writing signed or confirmed by email by both Parties.

17.9 Survival. Sections 9, 10, 13, 14, 15, 16.4 and 17 survive the termination or expiry of this Agreement.

17.10 Electronic signature. The Parties agree that this Agreement may be signed and delivered electronically. An electronic or digital signature, including a typed name, a drawn signature, or a signature applied through an electronic signing platform, has the same legal force and effect as a handwritten signature, and an electronic copy has the same effect as an original. This Agreement may be signed in counterparts, each of which is an original and all of which together form one agreement.

18. Signatures

By signing below, each Party confirms it has read and understood this Agreement, has the authority to enter into it, and agrees to be bound by it.
